I've always been one for preparing which has served me well throughout my career. Nowhere is that as important as in private equity. One of the best things you can do to ace your job interviews in PE is to show up super prepared.
Know everything you can about the company (public info, blogs, press releases, industry rags, etc) and ask thoughtful questions that show you understand private equity. Remember to let them drive the interview pace and structure, but pull some questions from the following list and ask as appropriate.
Investment Thesis & Value Creation
- What was the original investment thesis behind acquiring this business?
- What are the key value levers the firm is focused on pulling in this investment?
- How has the investment thesis evolved since the initial acquisition?
- What assumptions underpinned the investment model, and where are we ahead or behind?
- Where do you see the biggest opportunities for EBITDA growth?
- How does the firm define success in this investment — IRR, MOIC, strategic sale, etc.?
- What’s the current exit strategy and expected timing?
- Are there any planned tuck-in acquisitions or divestitures in the roadmap?
- How involved is the PE firm in day-to-day operational decisions?
- What are the top 3 priorities for value creation in the next 12 months?
Business Performance & Operations
- What KPIs are most closely monitored by the board and investors?
- Which parts of the business are currently underperforming?
- How is pricing strategy determined and optimized?
- Where have prior cost takeout efforts succeeded or failed?
- How do you currently think about capacity utilization and operating leverage?
- What’s the current state of digital and tech enablement across the business?
- Where is the company on its journey toward operational excellence?
- How strong is the current supply chain and where are the vulnerabilities?
- What has customer churn or retention looked like over the last few years?
- How is the sales funnel currently structured and what is the close rate?
Leadership & Talent
- What does the existing leadership team look like, and are there any planned changes?
- What skill gaps or experience gaps does the board see in the current team?
- What is the board’s philosophy on succession planning?
- Are there any known cultural issues or misalignments within the leadership team?
- How would you describe the board’s preferred leadership style in its executives?
- How much autonomy will I have in selecting or reshaping my team?
- What executive roles have been most difficult to retain or fill historically?
- What internal capabilities are currently underdeveloped and need strengthening?
- How involved is the PE firm in performance reviews or executive compensation?
- Are there leadership development or mentorship resources I’d be expected to implement?
Financials & Capital Structure
- What is the current leverage ratio, and are there any upcoming covenant tests?
- Has the business faced any liquidity concerns in the past 12–24 months?
- How is CapEx prioritized and approved?
- Is there flexibility to reallocate capital if priorities shift?
- What level of board approval is required for major investments or restructurings?
- Are there earnouts, holdbacks, or deferred liabilities I should be aware of?
- How are budget targets set — top-down, bottom-up, or blended?
- What’s the tolerance for short-term misses if long-term strategy is on track?
Board Dynamics & Decision-Making
- What is the cadence and format of board meetings?
- How does the board prefer to receive updates — formal reports, dashboards, ad hoc?
- How do you characterize the relationship between the board and CEO today?
- How open is the board to strategic pivots or reallocation of focus?
- How do board members typically challenge or support operating leaders?
- What is the appetite for risk versus operational discipline?
Market & Competitive Landscape
- What is the biggest external threat to the investment thesis right now?
- Who do you consider the most formidable competitor — and why?
- What’s your read on how industry dynamics (M&A, regulation, tech) might impact our space?
- What white space exists in the market that the company has not yet captured?
- How has the company historically responded to competitive pressures?
- How differentiated is the value proposition in the eyes of the customer?
